By accessing or using the NeverMissAFiling platform, website, and services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you ("you" or "User") and Sensfix Inc., a Delaware C-Corporation doing business as NeverMissAFiling ("we," "us," or "Company"). If you are using the Service on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms, and references to "you" shall include that entity.
If you do not agree to all of these Terms, you must not access or use the Service. Your continued use of the Service following the posting of revised Terms constitutes your acceptance of the changes.
NeverMissAFiling is an AI-powered compliance filing platform that automates the preparation and submission of state-required business filings, including annual reports, statements of information, franchise tax reports, and business registration renewals. The Service uses browser automation technology to interact with state government portals on your behalf, completing and submitting required forms using the information and credentials you provide.
The Service operates in two modes: Cockpit Mode, which allows you to observe the filing process in real time as our AI agent navigates state portals, and Autopilot Mode, which performs filings automatically and delivers confirmation via email upon completion. The Service also includes deadline tracking, filing history management, and multi-entity support.
To use the Service, you must create an account by providing accurate, current, and complete information as prompted during registration. You are responsible for maintaining the confidentiality of your account credentials, including your password, and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.
You must be at least 18 years of age to create an account and use the Service. By creating an account, you represent and warrant that you are at least 18 years old and that you have the legal authority to enter into these Terms. If you are creating an account on behalf of a business entity, you represent that you have the authority to act on behalf of and bind that entity to these Terms.
By providing your state government portal login credentials to the Service, you expressly authorize us to access those portals on your behalf for the sole purpose of completing compliance filings. You understand and acknowledge that you are granting us temporary access to your state portal accounts, and that we will use this access only to perform the filing services you have requested.
All credentials you provide are encrypted using AES-256 (Fernet) encryption and are stored in our secure database. Credentials are decrypted only at the time of filing execution and are never stored in plaintext. You may revoke your stored credentials at any time through your account dashboard, which will immediately delete the encrypted credentials from our systems. We strongly recommend that you use unique passwords for your state portal accounts and enable two-factor authentication where available.
We use commercially reasonable efforts to ensure the accuracy and completeness of all filings submitted through the Service. Our AI-powered automation is designed to faithfully transcribe the information you provide into the appropriate state forms and to submit them in accordance with each state's requirements.
However, NeverMissAFiling is not a law firm, accounting firm, or certified public accountant (CPA). The Service does not provide legal, tax, or financial advice. We are not responsible for errors, omissions, or inaccuracies in the source data you provide. You are solely responsible for verifying the accuracy of the information you enter into the platform, including entity names, officer information, registered agent details, and financial data. If a filing is rejected by a state agency due to incorrect source data provided by you, we will notify you and assist in correcting and resubmitting the filing, but we are not liable for any penalties, late fees, or other consequences resulting from inaccurate source data.
The Service offers multiple subscription tiers, including a free tier and paid plans billed on an annual basis. All paid subscriptions are processed through Stripe, our third-party payment processor. By subscribing to a paid plan, you authorize us to charge your designated payment method for the applicable subscription fees at the beginning of each billing period.
Subscription fees are generally non-refundable, except as described in our Refund Policy below. All fees are exclusive of applicable taxes, which will be added to your charges where required by law. We reserve the right to change our pricing at any time, but price changes will not affect your current billing period. We will provide you with reasonable advance notice of any price changes before your next renewal date.
We offer a 30-day money-back guarantee for all new paid subscriptions. If you are not satisfied with the Service for any reason within the first 30 days of your initial subscription, you may request a full refund of your subscription fee by contacting us at questions@nevermissafiling.com. Refunds will be processed to your original payment method within 5-10 business days.
After the initial 30-day period, subscription fees are non-refundable. Please note that the 30-day money-back guarantee applies only to NeverMissAFiling subscription fees and does not apply to any fees paid directly to state agencies for filing, such as state filing fees, franchise taxes, or penalty payments. State fees are collected by the respective state agencies and are beyond our control.
You may cancel your subscription at any time through your account dashboard or by contacting our support team. Upon cancellation, your subscription will remain active until the end of your current billing period. You will not be charged for subsequent billing periods after cancellation.
Please be aware that if you cancel your subscription, any filings that are scheduled but not yet completed will not be processed. It is your responsibility to ensure that all pending filings are completed or alternative arrangements are made before cancellation takes effect. After cancellation, you will retain read-only access to your filing history and account data for 30 days, after which your data will be scheduled for deletion in accordance with our Privacy Policy.
The Service, including all software, algorithms, user interface designs, documentation, branding, trademarks, and content created by or on behalf of the Company, is owned by Sensfix Inc. and is protected by copyright, trademark, patent, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service solely for its intended purpose during the term of your subscription.
You retain ownership of all data and content you submit to the Service, including your business entity information, filing data, and uploaded documents. By submitting data to the Service, you grant us a limited license to use, process, and transmit that data solely for the purpose of providing the Service to you.
You agree not to use the Service for any unlawful purpose or in any manner that violates these Terms. Prohibited uses include, but are not limited to: using the Service to submit fraudulent, false, or misleading filings to any government agency; accessing or attempting to access another user's account without authorization; interfering with, disrupting, or attempting to gain unauthorized access to the Service's infrastructure, servers, or networks; using automated tools, bots, or scripts to access the Service (other than the Service's own automation features); reselling, sublicensing, or otherwise making the Service available to third parties without our express written consent; and using the Service to collect, harvest, or store personal information about other users.
Violation of these prohibitions may result in immediate termination of your account and may subject you to civil and criminal liability.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SENSFIX INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, OR OTHERWISE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO US DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. WE ARE NOT RESPONSIBLE FOR THE ACTIONS, OMISSIONS, DELAYS, OR ERRORS OF ANY STATE GOVERNMENT AGENCY, INCLUDING BUT NOT LIMITED TO PROCESSING DELAYS, SYSTEM OUTAGES, OR CHANGES TO FILING REQUIREMENTS OR PROCEDURES.
You agree to indemnify, defend, and hold harmless Sensfix Inc., its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) the accuracy, legality, and completeness of the data and information you provide through the Service; or (e) your infringement of any third-party rights. This indemnification obligation will survive the termination of your account and these Terms.
Any dispute, controversy, or claim arising out of or relating to these Terms or the Service, including the breach, termination, or validity thereof, shall be settled by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator and shall take place in Wilmington, Delaware, or at another location mutually agreed upon by the parties.
The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction. YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration against the Company. If this class action waiver is found to be unenforceable, then the entirety of this arbitration provision shall be null and void.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any legal action or proceeding not subject to arbitration under Section 13 shall be brought exclusively in the state or federal courts located in Wilmington, Delaware, and you consent to the personal jurisdiction and venue of such courts.
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable, while preserving the original intent of the parties as closely as possible.
We reserve the right to modify or update these Terms at any time at our sole discretion. When we make changes, we will update the "Last updated" date at the top of this page and post the revised Terms on our website. For material changes, we will provide additional notice, such as sending an email to the address associated with your account. Your continued use of the Service after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and cancel your account.
